Look everything waits untill the court. .
at the minute hicks can't re-finance because he needs board approval.
the club have been effectively sold because the board has accepted an offer.
the court rules in favour of the board, all the above happen, contracts are signed and given to the premier league, RBS have an understanding that the debt will be paid in full by friday by NESV and everything is hunky dory for us. .
now the unlikely situation.
Hicks wins the court case.
if TH wins, he sacks broughton, ayres and purslow and brings in his own puppets.
he re-finances and continues to run the club, OR sells it himself at a higher price to maximise profit.
OR he dosnt re-finance and we enter administration, plus a nine point deduction(which i think is highly unlikely because he wouldn't be fighting the boards decision to sell if he didn't already have the money to re-finance or pay the debt). . . . .
all in all, and ive talked with my brother, who is a solicitor and he has told me that the courts decision will be based on whats better for the future of the club, he feels that it will be a no brainer for the court to decide to go with martin broughton and co. . .he also feels that broughton will sway the court in anyways as he is one of the most succesful buisnessmen in the country, that and the guy representing us is A1 in what he does.

Dear ED and All REDMEN,

This is ref: the take over saga.
Speaking to a friend who is a Spurs fan (so glotting as he says this) that all the talk of there being 3/ 2 on the board in favour of selling the club is niether here nor there come Tuesday.

As the company the own L.F.C. Kop Holding/ Kop Football LTD have a board of directors I.E. H&G and not Broughton/ Purslow/ Ayre, so if they do not want to sell, they don't have to.
Ok my fiend is no legal eagle but he knows more about business law/ etiquette than I.

I was just wondering if anyone could throw any more light on this, as if it is true bar H&G refinancing Kop Holding it's Admin and -6 points come Friday.

To the NUMPTY who said it would be good business to let Torres go, what palnet are you on! !. He is probably one of the best center forwards LFC have had (certainly in recent years), every forward goes through lean patches and what do some of our supporters do, jump on his back. Get real and give him the support he needs in this difficult period. Some so called supporters p*ss me off.

Lord Grabiner QC, one of Britain's most eminent legal brains, is being lined up to represent Liverpool Football Club in the court battle that could determine the club's future.

I have learned that Martin Broughton, Liverpool's chairman, is set to call on Lord Grabiner to help secure a so-called declaratory judgement from the High Court that last week's deal to sell the club was legitimate.

The case, which is likely to be heard on Tuesday or Wednesday, has acquired additional significance since New England Sports Ventures (NESV) indicated this weekend that it may pull out of the deal if Liverpool are docked nine Premier League points as a consequence of going into administration.

RH has stated that some of the first team squad need to prove themselves or they will be offloaded. With no solid offers in the summer (or desire to leave in the case of Babel) for the inherited strike force of Ngog, Kuyt, Babel and the unknown (at the time) Jovanavic it is hardly suprising that these would be given a final opportunity ahead of the Jan 11 window. The fact that Pacheco was not loaned out suggests that he would have featured in a few more games if the above had made an impact instead of mucking up against Northampton et al.

There is still a huge squad that needs to be trimmed - more out than in I would say - but if ten never will be good enough players can be offloaded for 2 stars and an opportunity to bed in some of the youngsters ready for next season then there can be a lot to be gained from a hugely disappointing mediocre league position this year.

In relation to the post regarding Red Sox using a points system to rate players. This was something tried by another baseball team which the red sox started using several years later. They stole the system from another team (i think oakland). They would rate the players that the other teams would ignore in the draft by using a different rating system. They were ignored for various reasons but when the system dug deeper into the stats they unearthed the gems, developed them for a few years and sold them on for massive profit. It was known as a nerds v jocks system, the nerds developed the system and would use the system to great effect. The red sox tried to poach the guys that developed the system but they were too loyal to the team.

Torres looking likely to leave and in my opinion it would be good business for us. I realise he is an athletico man but does anyone think there would be a chance of him going to Madrid with Mourihno there and them seemingly being the quickest route to success. I think I would take a swap of Higuain(30m) and Alonso(30m) for Torres(60m). It would be good business for damaged goods methinks.

But, all of a sudden the papers have managed to get J.Henry to change his business ethics and to openly confess to them that if Liverpool incur a points penalty the deal is off. I posted something this morning with my views on the takeover which I think others may have found interesting comment. True it was not a rumour but a view. It never made the boards. This is not the first time that I have had this happen.

Been out today with a well known coach from Liverpool FC and he confirmed that Fernando Torres has expressed that his future is elsewhere and that other clubs have been approached with a price. He says that Torres wants to be fast-tracked to success and this means that his loyalties to LFC have deminished. He also said that he could see Alonso returning within two years.

Ed, do you think Emanuelson from Ajax is worth persuing.He as a great left foot.He would be free and young enough to have a resale value.All the criteria, John Henry, puts into his dealings with the Red Sox.I hope we go for players like this one, in stead of overaged, Poulsens and Konchesky.Urby, can play down leftside, a position we ae struggle with. Obviously next week is a huge week for the club with the case being held at the High Court.

IF Broughton, Purslow & Ayres have done their homework properly then its an open an shut case for the court.

Now Hicks has demonstrated that he doesn't want to let go without a fight(I think someone compared it to the end scene in trading places!).

If he wishes to appeal against the decision of the court, he neednt necessarily have recourse to do it if it could be felt that his appeal is a frivilous one as it would have no justification in fact.

Unlike US law UK courts will not accept frivilous litigation if it holds up natural justice.

The facts in hand are.

(1) He and Gillette cannot get re-financing and need funds by 15th October in order to continue ownership. In the current climate the chances of re-financing are unlikely at the most.

(2) They had given several undertakings for which they have re-neged on, therefor not coming in with "clean hands", which is a basic principle in English Common law and Equity. This being born out by the undertakings that they made to shareholders when they purchased that they would not leverage debt against the club to purchase it, Purslow being a former minority shareholder apparently has this in his possession and is submitting it as part of the case. Secondly they gave undertakings to RBS as part of the debt restructure that they sell to a reasonable offer and would allow Broughton autonomy to (i) Sell the club for a reasonable price (ii) Allow all decisions relating to board membership to Broughton.

Hicks has acted in an underhand way throughout this process and he has acted in breach of UK company law.

I honestly cannot see a court handing any other decision that the board decision to accept the offer as reasonable and dismissing Hick's claim.

I believe that by the end of Tuesday Hick's will be going back to Texas with his tail between his legs.

Sorry to rain on your parade but Conor Wickham is a die-hard Liverpool fan and has already said Fernando Torres is his hero. So who would he choose of Tottenham and Liverpool? I wonder.
And besides that, bar a few exceptions (Forlan, Schweinsteiger, Kaka), we could bag more of those players listed than Tottenham, Arsenal or Chelsea could.
There's no need to "come back down to earth", once the takeover is completed we'll be able to add buying power to the attractiveness of tradition, history and honour involved with putting on a Liverpool shirt.

I am not sure what you would expect them to do. They are simply a sponsor and I very much doubt that the plight of Liverpool at the moment would cause them any reputational risk. They provide sponsorship for the purposes of advertising - and their is an old adage that "all publicity is good publicity".

Henry Winter has t* tted that Purslow says that there is no chance of the club going into Administration. Also that club's future absolutely secure if NESV take over.

All valid points, but don't forget that those "in the know" also claimed Cole to Spurs was a done deal and there was no way he'd leave London. Players move for all manner of reasons and the success rate of supposedly informed journalists and those ITK this summer has been poor to say the least. Until there's a statement from the new owners (fingers crossed everything goes well next week) we won't know what price bracket we're looking at or even if funds will be available in January. They might choose to make a statement of intent and give the fans a welcome gift or they might prefer to wait and further analyse where our shortcomings are rather than throw money at the problem. I have no idea how accurate the quotes attributed to Jakob Friis-Hansen, but if true the amount of players indicates that we'll probably be looking for value for money rather than marquee names. The list of countries given also seems to rule out Arda.

I am not sure what you would expect them to do. They are simply a sposnsr and I very much doubt that the plight of Liverpool at the moment would cause them any reputational risk. They provide sponsorship for the purposes of advertising - and their is an old adage that "all publicity is good publicity".

Over the period of time liverpool fans inc the ed would knock other teams rumours regarding players, i have seen some heated posts at times! but come on suarez, kaka, tevez, alonso, forlan, scweinstieger (spelling) , m. sissoko, l. diarra, aguero and even matta and then theirs the brit players ie bale, cahill, a. johnson, parker, wickham to name a few and to be honest can't see any of those players joining your club, bale has said some naughty stuff regarding your club spurs have all but signed wickham they have loaned out townsend and livermoore which ipswich requested and according to those in the know he will put pen to paper early summer! bentley could and i hope he goes to liverpool as well could pava again heres hoping? swp is another player on lfc's radar and looks promising? ian wright mentioned it in the standard! rumour has it that roy could be in touch with wenger regarding rosicky and denilson? kieron richardson could well be another addition according to his family in london and talk of family ashley youngs out spoken sister has come out again and said no way will ash join liverpool! he wants a return to london and if he gets no offers then he will stay at villa.

Murphy has today come out & backed Hodgson & to be fair he has a point. There is only 5 points separating 4th from 18th. Murphy also said "see where we are ar Christmas", referring to Liverpool as (We), could there be any legs in the rumour that he could be on his way back to us in January. He's a good premier league player & would do a far better job than Poulsen or Lucas. I believe he's very underated & it was a shame Rafa let him go. I know he's a Liverpool fan, but seriously think we could get a few seasons out of him in our squad for a cheap figure.

Broughton would not state that he had signed documentation for his control should he not be 100% sure, he is merely stating that a buyer would walk leaving LFC in a catastrophic state, so when it goes to court this will all be evidence against the current owners. There is no judge that will allow Hicks to block a sale of a club he can no longer finance and let the club fall apart when there is a perfectly good offer on the table to take it forward and the board having written power to sell it!
It's all paper talk and Broughton is very clever in what he says, it will all aid to the sale of Liverpool Football Club. Have faith fans as he said in his interview, The sale will happen! Hicks will not even appear in court and it will all be sorted out within four hours in favour of the takeover!

Liverpool's ace card against Tom Hicks and George Gillett in the looming court case is that the £300 million takeover by New England Sports Ventures is actually in the best interests of the outgoing owners - because it wipes out a massive £110 million worth of personal guarantees to the Royal Bank of Scotland.

Hicks and Gillett stand to lose a total of £254 million if the move by the owners of the Boston Red Sox collapses and they cannot find a replacement new owner by Friday.

In another twist, leaked minutes from a Liverpool board meeting allegedly contain Hicks making personal and abusive comments about Liverpool fans, which will rake up the hatred felt by the supporters against the current owners. However, it is impossible to see how much more despised Hicks and Gillett can become.

More importantly, ESPNsoccernet can exclusively reveal the cornerstone of Liverpool's case is that the takeover is in everyone's best interests. The hearing is not likely until Tuesday at the earliest. An inside source said: "It's in Hicks and Gillett's best interests, the board will argue, because it caps their losses at £144 million. Part of the deal with NESV is that the Royal Bank of Scotland wipe out the £110 million of personal guarantees."

An out of court settlement with Hicks and Gillett cannot be ruled out as the board is so confident that they will win the court case. Martin Broughton cannot comment on the specifics of the case, but the Liverpool chairman has told ESPNsoccernet that he believes he can win the case and the takeover can go through.

Behind the scenes 'negotiations' are clearly going on between the warring factions aimed at avoiding a messy public court hearing that would tear the club apart. Equally, the court hearing, which comes just days before Friday's deadline with the Royal Bank of Scotland, is unlikely to be the end of the legal wranglings, as whoever losses the initial hearing is sure to seek an appeal.

On the issue of an appeal, Liverpool's lawyers will argue that if Hicks and Gillett lose and the takeover can go through, and they call for an appeal, it would seriously jeopordise the takeover, and potentially throw the club into administration, thereby putting the club's surviva at risk.

If the legal actions drag to a second hearing, it is inevitable that RBS will have to take some decision on Friday, most likely to suspend the outcome of whether to put the club into administration pending the final court room verdict.

The logical solution is for both sets of lawyers to find some sort of middle ground, even if it is a settlement on the steps of the High Court. There is no direct contact anymore between the factions, with Hicks and Gillett on one side and the three English members of the board led by Broughton on the other.

Broughton told ESPNsoccernet exclusively: "All of these issues I cannot possibly comment on, as this is going to court, one would assume. We have no date for the hearing yet, but we are told it is a 'short order' and so it would be any day hopefully early next week.

However, without going into any legal detail, Broughton said: "Yes, I am confident we shall win. However we all know when you have to sets of lawyers they are both telling you that they are 100% confident that they will win."
